1. Scope and Acceptance
- These Terms and Conditions (“Terms”) govern access to and use of the free ERP tools (“Tools”) made available by JPG Analytics Limited trading as JPGAL (“JPGAL”, “we”, “us”, “our”) via its website. By downloading, accessing, or using the Tools, you (“the User”, “you”) confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Tools. Any standard terms and conditions of the User are expressly excluded and waived, even if issued after these Terms, unless expressly agreed in writing by JPGAL.
2. Nature of the Tools
The Tools are provided free of charge and are made available for general informational, educational, or productivity purposes only. The Tools:
- Are provided “as is” and “as available”
- Are not guaranteed to be complete, accurate, secure, or error-free
- Are not a substitute for professional advice, testing, or validation
- JPGAL provides no support, maintenance, updates, or service-level commitments
- JPGAL has no obligation to fix bugs, defects, or incompatibilities
- Use of the Tools is entirely at the User’s own risk.
- Assessing the suitability of the Tools for their environment
- Testing the Tools in non-production environments
- Ensuring compliance with applicable laws, regulations, and internal policies
- Any data processed, stored, or transmitted using the Tools.
- JPGAL shall not be liable for any direct, indirect, incidental, consequential, special, or economic loss, including but not limited to loss of data, loss of profits, loss of business, or system downtime
- JPGAL shall not be liable for any damages arising from use or inability to use the Tools
- JPGAL shall not be required to appear as a third party in any claim brought against the User by an end customer, supplier, or other third party
- Use or misuse of the Tools.
- Breach of these Terms
- Claims brought by third parties related to the User’s use of the Tools
JPGAL reserves the right to modify, suspend, or withdraw the Tools at any time without notice.
3. No Support or Service Commitment
Unless explicitly agreed in writing:
Nothing in these Terms creates an obligation of results or performance.
4. User Responsibilities
The User is solely responsible for:
The User must not use the Tools in any manner that is unlawful, harmful, or inconsistent with these Terms.
5. Limitation of Liability
To the fullest extent permitted by law:
Nothing in these Terms shall exclude liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under UK law.
6. Indemnity
The User agrees to indemnify and hold harmless JPGAL from and against any claims, damages, losses, or expenses arising out of:
- Copy, modify, adapt, translate, or create derivative works of the Tools, except to the extent expressly permitted by law
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, algorithms, or structure of the Tools.
- Distribute, sublicense, lease, rent, loan, sell, assign, or otherwise transfer the Tools to any third party.
- Use the Tools as part of a commercial product or service offered to third parties without prior written consent from JPGAL.
- Remove, obscure, or alter any proprietary, copyright, or branding notices contained in the Tools.
7. End User License Agreement
Subject to the User’s compliance with these Terms, JPGAL grants the User a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to download, install, and use the Tools solely for the User’s internal business or personal purposes. This licence does not constitute a sale of the Tools or any related intellectual property.

The User shall not, and shall not permit any third party to:

All rights, title, and interest in and to the Tools, including all intellectual property rights, remain the exclusive property of JPGAL or its licensors. Nothing in these Terms shall be construed as granting the User any ownership rights in the Tools.
7.3 Third-Party Components
The Tools may include or depend on third-party software or libraries. Such components are licensed under their respective licence terms, and the User agrees to comply with those terms where applicable.
7.4 Termination
This licence shall automatically terminate without notice if the User breaches any provision of these Terms. Upon termination, the User must immediately cease all use of the Tools and delete or destroy all copies in their possession or control. Termination shall not affect any rights or remedies accrued prior to termination.
8. Claims and Notifications
Any claim relating to the Tools must be notified to JPGAL in writing by recorded delivery to its registered office within eight (8) days of the event giving rise to the claim, failing which the claim shall be deemed inadmissible.
9. Governing Law and Jurisdiction
These Terms and any dispute arising from or in connection with them shall be governed exclusively by the laws of England and Wales.The courts of England and Wales shall have exclusive jurisdiction.
10. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
11. Entire Agreement
These Terms constitute the entire agreement between JPGAL and the User concerning the free Tools and supersede any prior discussions or representations.
